General B2B Commercial Terms

1. Subject

These Terms govern sales made by DBR srl to professional customers (workshops, resellers, or companies). DBR products are entirely handmade, so they may have slight aesthetic or dimensional differences due to artisanal processing, which do not constitute defects.

2. Ordering Procedure

Orders must be placed by accessing the DBR B2B area on the website using a personal email and password. Any notes, requests, or custom modifications must be communicated directly or via email to the Seller’s official address. The order is considered valid only after payment is received.

3. Payments

Payment must be made at the time of order via bank transfer or electronic payment. If payment is not made within 48 hours of receiving the order, the order will be automatically canceled without any penalty or charge. No late fees or interest apply: in case of non-payment, the order will simply be canceled.

4. Production and Delivery Times

Standard production times are 30 working days from the order confirmation date and receipt of payment. Any delays due to force majeure or external suppliers do not entitle compensation or damages. Shipping costs are borne by the buyer unless otherwise agreed in writing.

5. Warranty and Claims

DBR srl guarantees its products for 12 months (1 year) from delivery, limited to manufacturing defects attributable to the company. In such cases, the product will be repaired or replaced at the Seller’s discretion.

Not covered by the warranty:
- damage due to improper use or incorrect installation;
- unauthorized modifications;
- normal wear and tear of materials.

Any claims must be reported within 7 days of receiving the goods, attaching photographic or descriptive evidence of the defect.

6. Order Cancellation

The Customer may cancel the order within 72 hours of submission by written communication (email). After this period, the amount will be charged in full, as these are custom and personalized productions.

7. Rights and Duties of the Parties

Seller (DBR srl):
- Has the right to receive full payment for the ordered products.
- Has the right to suspend or refuse an order in case of technical impossibility or lack of materials, after notifying the Customer.
- Has the duty to produce and deliver products conforming to the order within the established times.
- Has the duty to comply with current regulations regarding invoicing, product safety, and commercial responsibility.

Customer:
- Has the right to receive products conforming to the order and a 12-month warranty on manufacturing defects.
- Has the duty to check the goods upon delivery and report any damage within the specified terms.
- Has the duty to install and use the products correctly, respecting current technical and safety regulations.
- Has the duty to respect the payment and cancellation terms established in this document.

8. Limitation of Liability

DBR srl is not liable for indirect damages, loss of profit, or machine downtime resulting from the use, installation, or delay in delivery of the products.

9. Jurisdiction

For any disputes, the Court of Como has exclusive jurisdiction, unless otherwise agreed in writing by the parties.

10. Acceptance

By signing this document or submitting the order through the B2B portal, the Customer declares that they have read, understood, and fully accepted these General B2B Commercial Terms.
